Terms of Service

1. Agreement to Terms

By accessing or using the Opusfolio platform ("Service") provided by Opusfolio Art Advisors LLC ("Opusfolio," "we," "us," or "our"), a Wyoming limited liability company, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Opusfolio is a software-as-a-service platform designed for art advisors and art professionals. The Service provides tools for client management, artwork cataloging, proposal creation, invoicing, scheduling, and related business operations.

3. Account Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activity under your account.

4. Subscription and Payment

The Service is offered on a subscription basis at $75 per month ("Professional Plan"). Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.

5. Your Data

You retain all rights to the data you upload to the Service ("Your Data"), including client information, artwork details, documents, and any other content. We do not claim ownership of Your Data. You grant us a limited license to host, store, and process Your Data solely for the purpose of providing the Service.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload content that infringes third-party intellectual property rights; (c) attempt to gain unauthorized access to the Service or its systems; (d) use the Service to transmit malware or other harmful code; (e) resell or redistribute the Service without our written consent.

7. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Opusfolio Art Advisors LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPUSFOLIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may export Your Data prior to termination. We will retain Your Data for 30 days following termination, after which it may be permanently deleted.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Wyoming.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
